1. Introduction

Welcome to AgenticFlo, Inc. ("AgenticFlo," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our subscription-based AI agent service, which includes advanced call management, callback features, inbound call answering, and messaging capabilities. By subscribing to our service, you agree to be bound by these Terms.

2. Service Description

AgenticFlo provides an AI-powered solution that:

• Manages incoming and missed calls.
• Offers callback services and answers inbound calls.
• Facilitates messaging communications in compliance with applicable industry guidelines and carrier regulations.

Detailed service features, performance metrics, and limitations are provided in supplementary service documentation and promotional materials.

3. Subscription & Payment Terms

Subscription Model: Our service is offered on both monthly and annual recurring subscription plans. Specific pricing, usage thresholds, and inclusions are outlined in your service agreement or online order form.

Usage-Based Charges: In addition to the base subscription fee, usage-based charges may apply, including but not limited to per-minute, per-call or per-message fees.

Billing Cycle & Payment Methods: Billing occurs on either a monthly or annual cycle, depending on your selected plan. Accepted payment methods include credit card and ACH.

Cancellation & Refunds: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle. No refunds will be issued for partial billing periods or usage charges, but AgenticFlo may, at its sole discretion, issue account credits in certain circumstances.

4. Messaging Services Terms

Campaign Registration: All messaging campaigns must be registered in compliance with carrier guidelines and regulatory standards.

Consent & Opt-Out: You are responsible for ensuring recipients have provided explicit consent to receive messaging communications. All messages must include clear opt-out instructions.

Content Standards: You agree to follow all applicable content rules and restrictions. Any updates in industry or regulatory messaging standards will be communicated to you, and your compliance is required.

Additional Charges: Any extra fees, including carrier-imposed surcharges, will be disclosed and billed accordingly. These are the responsibility of the subscriber.

5. User Obligations

• Accurate Information: You agree to provide and maintain accurate registration, contact, and billing information.
• Compliance: You will comply with all applicable laws, regulations, and industry standards in connection with your use of the service.
• Acceptable Use: You agree not to misuse, disrupt, or attempt to gain unauthorized access to the service or related systems.
• Notification of Misuse: You agree to notify us immediately of any unauthorized use or suspected security breaches related to your account.

6. Intellectual Property

• Ownership: All intellectual property rights related to the AgenticFlo platform, including trademarks, content, and technology, remain the sole property of AgenticFlo or its licensors.
• License Grant: We grant you a limited, non-exclusive, non-transferable license to use the service for your internal business purposes, subject to these Terms.
• Restrictions: You may not copy, reverse-engineer, decompile, or create derivative works from any portion of the service without our express written permission.

7. Limitation of Liability & Indemnification

Limitation of Liability: To the fullest extent permitted by law, AgenticFlo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising out of or related to your use of the service.

Indemnification: You agree to indemnify, defend, and hold harmless AgenticFlo and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from your use of the service or violation of these Terms.

Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including natural disasters, labor disputes, internet outages, or governmental actions.

8. Dispute Resolution & Governing Law

Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our service shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration service in accordance with its commercial arbitration rules. You and AgenticFlo agree to resolve disputes on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of laws principles.

9. Termination

Termination Rights: We may suspend or terminate your access to the service at any time for violation of these Terms, failure to pay, or other legitimate business reasons.

Effect of Termination: Upon termination, you remain responsible for any outstanding fees and all accrued charges prior to termination.

Reactivation: Reactivation of service after termination is at our sole discretion and may require a new subscription agreement.

10. Geographic Scope

AgenticFlo's AI services are currently intended for use only by customers and businesses operating within the United States of America. We do not market, offer, or support our services to users located in other countries.

If you access or use our services from outside the U.S., you do so at your own risk, and you are responsible for compliance with local laws and regulations. We make no representations that our AI systems or policies comply with non-U.S. data protection or AI regulatory frameworks.

11. Modifications to These Terms

We may modify these Terms from time to time. Updates will be posted on our website. Your continued use of the service after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

12. Miscellaneous

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms, along with our Privacy Policy and any applicable service agreement or order form, constitute the entire agreement between you and AgenticFlo regarding the service and supersede any prior agreements or understandings.
• No Waiver: Our failure to enforce any part of these Terms shall not be considered a waiver of our rights.
