AI Terms of Use

1. Use of AI Services

You may use the AI Services solely for lawful business purposes in accordance with these AI Terms and applicable laws and regulations. You agree not to:

• Use the AI Services in violation of any applicable law or regulation;
• Use the AI Services to impersonate others or mislead users;
• Generate, transmit, or disseminate unlawful, infringing, defamatory, harmful, abusive, or deceptive content;
• Attempt to reverse-engineer, extract, or manipulate the underlying AI models or systems;
• Use the AI Services to process or disclose sensitive personal data (e.g., health, biometric, or financial data) without appropriate legal basis and our written approval;
• Use the AI Services in any high-risk environment or for life-critical functions;
• Use the AI Services to train AI models, develop competing products, or resell Outputs without our explicit written consent.

You are solely responsible for the content you input into the AI Services ("Inputs") and any content generated by the AI Services in response ("Outputs").

2. AI-Generated Content

The AI Services generate content automatically based on user Inputs. You understand and agree that:

• Outputs may contain inaccuracies, hallucinations, bias, or other errors;
• Outputs are not guaranteed to be correct, complete, or appropriate for your particular use case;
• Outputs are not legal, financial, medical, or professional advice;
• You must review and verify all Outputs before using them in business operations or sharing them with third parties.

AgenticFlo makes no representations or warranties about the accuracy, reliability, legality, or usefulness of Outputs. You use the AI Services at your own risk.

3. Human Oversight Required

You acknowledge that the AI Services are designed to assist, not replace, human judgment. You agree to maintain appropriate human supervision over all uses of the AI Services, especially in customer-facing, operational, or decision-making contexts.

4. High-Risk Use Prohibited

The AI Services are not designed or intended for use in high-risk applications, including but not limited to:

• Medical diagnosis or treatment;
• Legal advice or representation;
• Financial or investment decisions;
• Emergency response systems;
• Situations where AI-generated content could cause harm, injury, or legal liability if inaccurate.

You agree not to use the AI Services in any of the above contexts or other use cases that could result in significant harm or reliance on inaccurate outputs.

5. AI Disclaimer

AgenticFlo's AI Services use advanced machine learning models to generate responses based on provided Inputs. These models may evolve over time and may produce varying results for similar prompts.

Disclaimer: All content generated by the AI Services is provided "as is" and "as available." You must review all Outputs before relying on them for decision-making. AgenticFlo disclaims all liability for errors, inaccuracies, or reliance on Outputs without human verification.

6. Changes in Model Behavior

Because the AI Services rely on third-party models and infrastructure (e.g., large language models and cloud-based APIs), the behavior, quality, and content of Outputs may change over time. You acknowledge that:

• Outputs may differ for the same Inputs depending on updates to the models or services;
• AgenticFlo does not guarantee consistency or version-locking of Output behavior.

7. Intellectual Property

AgenticFlo retains all rights, title, and interest in and to the AI Services, including but not limited to any associated software, infrastructure, tools, and systems.

You retain ownership of your lawful Inputs. Subject to these AI Terms, you are granted a non-exclusive, non-transferable, limited license to use the Outputs for your internal business purposes only.

You may not use the AI Services or Outputs to train other models, develop competing technologies, or redistribute AI-generated content without our prior written consent.

8. Privacy and Data Use

Your use of the AI Services is subject to our Privacy Policy. We may process Inputs and Outputs to provide, improve, monitor, and secure the AI Services. Data may be transmitted to third-party service providers (e.g., OpenAI, Anthropic, Google Gemini, AWS) solely for the purpose of enabling the AI functionality, under strict contractual obligations.

You are responsible for ensuring that your use of the AI Services complies with all applicable privacy and data protection laws, including obtaining any necessary consents from individuals whose personal data is processed.

Optional: AgenticFlo may retain Inputs and Outputs temporarily for debugging, support, or performance monitoring purposes, subject to secure handling and deletion in accordance with our data retention policies.

9. Indemnification and Limitation of Liability

Indemnification:

You agree to indemnify, defend, and hold harmless AgenticFlo, Inc., its affiliates, officers, employees, contractors, and third-party service providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the AI Services;
• Your Inputs or any Outputs shared with third parties;
• Your violation of these AI Terms or applicable law;
• Harm caused to third parties as a result of AI-generated content.

Limitation of Liability:

To the maximum extent permitted by law, AgenticFlo shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, business interruption, or loss of data, arising from or related to your use of the AI Services.

Our total cumulative liability under these AI Terms shall not exceed the greater of (a) the amount you paid for AI Services in the three (3) months preceding the claim, or (b) $500.

10. Suspension and Termination

We reserve the right to suspend or terminate your access to the AI Services at any time if:

• You violate these AI Terms or our general Terms of Service;
• Your use poses a risk to system integrity, performance, or security;
• Required by law or government order.

We may also discontinue or modify the AI Services at any time, with or without notice.

11. Geographic Scope

AgenticFlo's AI services are currently intended for use only by customers and businesses operating within the United States of America. We do not market, offer, or support our services to users located in other countries.

If you access or use our services from outside the U.S., you do so at your own risk, and you are responsible for compliance with local laws and regulations. We make no representations that our AI systems or policies comply with non-U.S. data protection or AI regulatory frameworks.

12. Updates to These AI Terms

We may revise these AI Terms from time to time. When we make material changes, we will update the "Last Updated" date and, if appropriate, notify you by email or through the Services. Your continued use of the AI Services after the changes become effective constitutes your agreement to the updated terms.
